Legal Counsel
Location: Skokie, IL (Hybrid / Remote options available)

The Legal Counsel will be a member of the Legal department and tasked with providing counsel on contract law, corporate structures, M&A and insolvency matters. More specifically, the Legal Counsel will be engaged with and provide support in the following areas: document drafting and review, corporate entity research, and other legal matters and assistance as needed, including special projects, related to our asset acquisitions. The ideal candidate will be a motivated, detail-oriented and organized team player, with a desire to provide exceptional service to the organization’s business units.
Essential Duties and Responsibilities
Provide legal support and assist with drafting, reviewing, and negotiating asset purchase agreements and ancillary documents, including sale motions and related pleadings, necessary for our asset acquisitions.
Help build and improve contract templates and negotiation playbooks and assist with providing internal training to acquisition sourcing team.
Support strategic initiatives pertaining to the development/updating of processes, tools, and templates to improve overall risk management and contracting practices and to help drive adoption of such processes, tools, and templates.
Research entity operational histories, ownership structures and transactional activities, including corporate formations, conversions, mergers, dissolutions, insolvencies, acquisitions and divestitures.
Provide authoritative guidance to business teams around issue resolution and risk management for asset acquisitions and monetization efforts.
Perform special projects and other related duties as assigned or requested.
Knowledge, Skills, and Experience Required
To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements listed below are representative of the knowledge, skill, and/or experience required:
J.D. Degree from an accredited U.S. law school and active license to practice law in Illinois.
6+ years of experience as a practicing attorney in a law firm or in-house legal department ideally with at least 3 years’ experience in a law firm’s restructuring, turnaround or insolvency advisory practice with strong preference for large commercial debtor representations.
Additional experience or a degree in finance, accounting, business or banking would be a plus as would Federal Clerkship or Intern experience, though not mandatory.
Excellent communication, analytical, organizational, project management, and interpersonal skills.
A self-starter mentality with the ability to work well under pressure, thrive working under limited direction, and an attitude that no job is too challenging or too small.
Ability to provide solutions to a variety of issues of varied scope and complexity and to prioritize and balance multiple tasks in a fast-paced, continuously evolving environment.
Ability to meet multiple deadlines, with a high degree of accuracy and efficiency.
Ability to problem solve, work autonomously, think independently and tackle projects with minimal supervision while maintaining timely and efficient organization.
Ability to carefully proofread and pay close attention to detail.
High level of proficiency with technology and information management tools, including Microsoft Office Suites (Word, Excel, PowerPoint), Microsoft Teams, Zoom, and Adobe PDF.
Proficiency with electronic research tools, including the United States court electronic filing system (CM/ECF) or PACER, Secretary of State databases, UCC and lien databases, Edgar, and other internet based corporate databases.
Ability to learn and work with internal, proprietary databases.

Ability to work in a fast-paced office environment, utilizing computer equipment for extended periods.
Location: Starting out this will be a full-time on-site / in-office role with a discretionary option for hybrid arrangement (at least 2 days on-site preferred) after an introductory period.
Hours: The company’s standard workweek is 40 hours with standard hours between 8 am – 6 pm. This role may require after-hours work.

Compensation
Annual salary is $125,000 to $165,000, depending on prior work experience. Other benefits include:
